Model 231

With resolution of the Board of Directors dated 22 September 2011, BRT has adopted an Organization, Management and Control Model pursuant to Italian Legislative Decree no. 231/2001.

The adoption of such Model is a mandatory requirement to allow the Company to be exempted from administrative liability pursuant to Italian Legislative Decree no. 231/2001 in case of commission of the offences provided for by the Decree no. 231/2001 by its directors and employees, as well as by the persons acting in the name and on behalf of the Company.

BRT 231 Model is composed of a General Part and a Special Part.

  • The General Part (available at the bottom of the page by clicking on the dedicated banner) concerns the description of the provision of the Decree no. 231/2001, the description of crimes relevant to the Company, the system of corporate governance and the organization and management system adopted by the Company, the recipients of the Model, the rules and operating principles regarding the Supervisory Body, the definition of a sanction system to be applied in case of violations of the Model, the obligations for the Company in terms of communication and training on the 231 Model.
  • The Special Part concerns the identification of "sensitive" activities and processes - which have been considered exposed to a potential risk pursuant to the Decree no. 231/2001, also in complicity, for the Company - the general principles of conduct, the tools for prevention to safeguard these activities and the control measures for the prevention or mitigation of the offences provided for by the Decree no. 231/2001.

The Company ensures the periodic update of the 231 Model whenever necessary, in order to ensure its adequacy and suitability, evaluated with respect to its preventive function with regard to the risk of commission of the crimes provided by D. Lgs. 231/2001.

BRT has appointed a Supervisory Body (OdV), with autonomy of action and specific powers, responsible for verifying compliance with the rules of the Model, to update it and to report to the Board of Directors all eventual situations of non-compliance with the Model.
